On May 11, 2018, the Board of Directors of Qorvo, Inc. approved amendments to the Code of Business Conduct and Ethics to provide additional guidance and greater detail with respect to various matters, including: (i) anti-corruption measures; (ii) compliance with laws, rules and regulations with respect to doing business with various government departments and agencies; (iii) reporting and disclosure of government contract nonperformance, fraud, waste or abuse; and (iv) conflicts of interest, and to reflect associated best practices within each of the foregoing areas. Amendments to the Code of Business Conduct and Ethics were also approved for consistency with: (i) Qorvo’s policies regarding spokespeople, speeches, publications and endorsements; and (ii) Qorvo’s anti-discrimination and anti-harassment policies, and to properly refer to: (i) Qorvo’s commitment as a member of the Responsible Business Alliance; and (ii) Qorvo’s Whistleblower Policy.
